The Bitcoin Treasury Trade Is Becoming a Capital-Structure Trade

Perspective

The Bitcoin treasury market is growing up.

For most of the last two years, the easiest way to measure the sector was to count coins. Who bought the most Bitcoin? Who raised the most capital? Who moved fastest?

That is becoming less useful.

Strategy added only 250 BTC last week for roughly $21.5 million, yet spent about $192 million repurchasing STRC. Metaplanet, already sitting on roughly 44,000 BTC, just raised approximately ¥52 billion through a zero-coupon convertible and plans to use the proceeds to repay Bitcoin-backed borrowing and buy back shares, not buy more Bitcoin.

Meanwhile, MSCI is preparing to make a decision that could determine whether some of these companies remain inside major global indexes at all.

The important question is shifting from: Who can accumulate the most Bitcoin?

to: Who can manage the capital structure around the Bitcoin most effectively?

That is a much more institutional conversation.

Signals

1. Strategy is managing STRC more aggressively than it is buying Bitcoin

Strategy purchased another 250 BTC for approximately $21.5 million, bringing total holdings to roughly 848,250 BTC.

But the larger capital move was elsewhere.  The company reportedly spent about $192 million repurchasing STRC preferred stock, nearly nine times what it deployed into Bitcoin.

At the same time, STRC has moved back toward par, trading above $99.80 and sitting only about $0.17 below $100. That matters because a sustained return toward par could reopen the preferred-issuance channel and allow Strategy to raise new capital without relying as heavily on common-share issuance.

The Bitcoin purchase gets the headline. The capital structure may be doing the real work.

2. Metaplanet raised roughly $330 million and is not using it to buy Bitcoin

Metaplanet announced a ¥52 billion, roughly $330–340 million, zero-coupon convertible bond due in 2031.

The notable part is the use of proceeds.

The capital is intended primarily to repay Bitcoin-backed borrowing and fund share repurchases rather than increase the company's 44,000 BTC position.

That is another sign the sector is moving beyond accumulation-first thinking.

Metaplanet is using cheap, long-duration financing to reshape liabilities, potentially reduce the share count, and improve the economics surrounding the Bitcoin already on the balance sheet.

The stack did not get bigger. The structure around it may get better.

3. MSCI's October 16 decision could matter more than another Bitcoin purchase

The near-term binary event is now October 16.

MSCI is expected to decide whether Bitcoin treasury companies such as Strategy and Metaplanet remain eligible for certain indexes under its evolving methodology. One estimate circulating in the market suggests exclusion could result in approximately $2.8 billion of MSTR selling from passive and benchmark-linked portfolios.

Whether that estimate proves accurate is less important than the structural issue.

A Bitcoin treasury company can increase BTC per share, improve financing, preserve liquidity, and execute exactly as intended, yet still face selling because an index provider changes the rules determining who belongs in the benchmark.

Bitcoin treasury risk is no longer confined to Bitcoin. It now includes the institutional machinery surrounding the equity.

What It Means

The treasury trade is becoming a capital-structure trade.

Strategy is spending more capital managing preferred securities than buying Bitcoin. Metaplanet is raising hundreds of millions of dollars to reduce borrowing and repurchase shares rather than enlarge its stack. And MSCI may soon determine whether some of the largest treasury companies remain inside important institutional benchmarks.

None of those developments changes Bitcoin. They change the wrapper. That is where the next phase of the market will probably be decided.

The strongest companies may not be those that buy Bitcoin every week. They may be the ones that can raise the cheapest capital, manage obligations intelligently, protect BTC per share, maintain liquidity, and remain investable inside the institutional system.

Bitcoin is the asset. Capital structure is becoming the strategy.

Trust Bitcoin. Govern the Treasury.
